Procurement Agency (RPA) intends to enter into a contract for the
provision of external insurance advisory services in relation to the Metro
West project.

II.2) QUANTITY OR SCOPE OF THE CONTRACT
II.2.1) Total quantity or scope: RPA is an Irish state agency which was
established in December 2001 with the primary functions of developing
light rail and metro infrastructure in Ireland. The RPA has legal
authority for the construction and operation of its projects and also
procures the design, construction, finance and operation of such projects.
The Metro West Project entail the design, build, financing and maintenance
of an orbital light railway serving the western communities of Dublin. The
NDFA is the statutory financial advisor to RPA for the Metro West project.
The contract which may be awarded under this competition will be for the
provision of the Services which are required by RPA in connection with the
Project, including, but not limited to: •Advise on the insurable risk
relationship between RPA/NDFA and the Public Private Partnership (PPP)
concessionaires and others working together on the Project; •Identify
insurance issues at an early stage in the Project including application of
relevant PPP Project Agreement insurance provisions; •Advise on the scope
of insurances that it would be prudent to require from one PPP
concessionaire undertaking the design, construction, financing and
maintenance of the Project and a separate concessionaire undertaking the
operation (including commissioning support) of the Project. The different
insurances required at each phase of the Project should be identified;
•Advise on the likely commercial availability of required PPP insurances
via review of insurability or otherwise of Project risks in prevailing
insurance market conditions; •Advise and comment on the need for and the
availability of specialist classes of insurance in a PPP context, (e.g.
environmental liability insurance and professional indemnity insurance);
•Provide benchmark underlying prevailing insurance market rating
structures in respect of the required insurances to inform the Project
PSB; •Advise on the allocation of insurable risk, responsibility,
liability and insurance obligations as between the infrastructure and
operations contractors or concessionaires, and insurance interface issues;
•Draft, in conjunction with the project working group, all relevant
required insurance provisions for the Project Agreement (e.g. insurance
clauses, schedule of required insurances, insurance premium risk sharing
schedule, brokers letter of undertaking and Project insurance requirements
of response both technical and insurance costs); •Advise on financial
security standards to be specified for Project insurers; •Develop
insurance response evaluation criteria and agree insurance evaluation
methodology; •Evaluate insurance bid responses against the requirements
set out in Project insurance provisions and comment on areas of
compliance/non compliance; •Review tenders received in relation to the
adequacy of insurance schedules provided, level of cover specified and
acceptability of proposed insurers compared to that specified under
contractual obligations; •Evaluate Tenderers project insurance costs,
“insurance risk contingencies” and self retention proposals. As
appropriate agree with Tenderers Insurance Premium Risk Sharing Schedule
Base Costs; •Review and approve the final form of all policy wordings;
•Identify and resolve with the project working group and Tenderers
insurance clarifications; •Provide insurance advice and support to the
Project Working Group throughout the Negotiated Procedure process, develop
the Agency’s insurance negotiation position as appropriate; •As
appropriate, dialogue with Tenderers and their advisers regarding the
intention behind Project insurable risk allocation, Project Agreement
insurance provisions drafting and extent of insurance required/available
from insurance markets; •Assist in Negotiated Procedure selection process
including with resolution of insurance issues with Preferred Tenderer (and
its Lender) prior to Contract award; •At Contract award ensure that
required insurances have been placed in accordance with Project
requirements; •Provide such additional services as the project working
group may determine are necessary or appropriate in order to properly
brief upon, negotiate, obtain and maintain Project insurance mechanisms.

otherwise as will enable them to contract as a single entity. It may
become necessary for the group to state a single addressee responsible for
the receipt and processing of the participating orders and resolving any
problems relating to the contract. RPA reserves the right to disqualify
any group or consortium which makes changes to the composition of the
group after pre-qualification without the consent of RPA.
