SECTION VI: COMPLEMENTARY INFORMATION
VI.1) THIS IS A RECURRENT PROCUREMENT: No.
VI.2) CONTRACT RELATED TO A PROJECT AND/OR PROGRAMME FINANCED BY EU
FUNDS: No.
VI.3) ADDITIONAL INFORMATION: The SFC is a statutory body created by an
Act of the Scottish Parliament in 2005 following the merger of the former
Scottish Higher Education Funding Council and the Scottish Further
Education Funding Council. It is a Non-Departmental Public Body of the
Scottish Government and is fully funded by and accountable to the Scottish
Ministers. The SFC is responsible for the distribution of over £1.7
billion (based on the Annual Accounts to year end 31.3.2007) of Scottish
Government funding to Scotland's colleges and universities for teaching
and learning, research and other activities. There are 43 colleges and 19
universities funded by SFC. The SFC is required to monitor the colleges
and universities which it funds to ensure that they are consistently
meeting the statutory standards set out in the SFC's founding legislation.
This is achieved in practice through a financial memorandum entered into
between the SFC and each body which delineates clear financial and
management standards as well as terms and conditions of capital grant
funding which is provided by the SFC to each college or university. As
part of this tender, the SFC is acting on behalf of the colleges and
universities to which the SFC provides funding to appoint a panel of banks
to provide external finance to support capital projects required by the
colleges or universities. The capital projects will be new build campuses,
campus relocation projects or major refurbishments. Call offs will be made
from the panel for the provision of loan finance to a number of colleges
or universities, with repayments from the colleges or universities being
fully supported by the SFC. The exact nature of the loan support will be
determined at a subsequent stage of the procurement but may include the
SFC making loan support payments to the colleges or universities into a
ring fenced account for debt service, or an explicit formal financial
guarantee of the college or university's loan obligations by the SFC,
amongst other options. Further details of the project structure, the
colleges and universities involved and the timetable will be included in
the ITN. The members of the Lending Panel will be selected from those who
make a tender submission to the SFC in accordance with the ITN which will
be made available to interested parties on request from the email address
set out in section I 1). Interested parties will be required to sign a
confidentiality agreement in advance of receiving a copy of the ITN.
Tenderers should note that the SFC may seek to increase the amount of debt
sought from Lending Panel members at any point during the duration of the
framework agreement. The SFC also reserves the right to issue a
supplementary OJEU Notice to invite other parties to tender to be invited
to join the Lending Panel at a later stage. The Public Contracts
(Scotland) Regulations 2006 (the "Regulations") do not apply to the
seeking of offers in relation to a proposed public framework agreement for
financial services in connection with the issue, purchase, sale or
transfer of securities or other financial instruments in particular
transactions by the contracting authorities to raise money or capital in
terms of regulation 6(2)(h) of the Regulations. However, contracting
authorities are obliged (in terms of regulation 8(21)), when proposing to
award a public contract which is otherwise exempt from the requirement for
prior publication of a contract notice, and if required by its general
Community obligations for the benefit of any potential economic operator,
to ensure a degree of advertising and follow a procedure leading to the
award of the contract which is sufficient to enable open competition and
meet the requirements of the principles of equal treatment, non
discrimination and transparency. Therefore, the SFC has decided to issue
this OJEU notice in order to fulfil its obligations albeit that the issue
of this OJEU notice is not mandatory. The SFC reserves the right to extend
the duration of this framework agreement by a period of up to 12 months.
The mechanism for the operation of this extension will be set out in the
contractual documentation. For the avoidance of doubt, the duration of the
framework agreement and the period of any loan term are not interdependent
and a loan placed within the duration of the framework agreement will
continue for the period of the loan term regardless of whether the
framework is in place or that lender is a member of any new framework
agreement. The SFC reserves the right not to award any contract as a
result of the procurement process initiated by this notice and to make
whatever changes the SFC sees fit to the content, process, timing and
structure of the procurement process. Parties which alter their
composition after making an ITN submission will be the subject of
re-evaluation. Interested parties and tenderers shall be solely
responsible for all costs, expenses and liabilities incurred in connection
with the preparation and submission of any expression of interest,
pre-qualification, submission, or tender relating to the proposed or
actual award of the services that are the subject of this notice and all
related applications, negotiations or transactions. The SFC shall not,
under any circumstances, be liable for any costs, howsoever incurred by
interested parties or tenderers in participating in this procurement
competition or otherwise. For the purposes of the Freedom of Information
(Scotland) Act 2002 (the "Act"), the SFC is a "public authority" within
the meaning of the Act and is, therefore, subject to the provisions of the
Act. This means that any person who makes a valid request for information
held by the SFC will be entitled to receive it, unless all or part of that
information can be withheld as a result of the application of one or more
of the exemptions in the Act. Accordingly, and in compliance with the Act,
the SFC may be required to disclose any material, information, data or
other records provided by interested parties or tenderers in the
procurement competition. Information that is designated as "commercial in
confidence" will not necessarily protect such information from disclosure.

The SFC will incorporate a minimum 10 calendar day standstill period at
the point information on the award of the contract is communicated to
tenderers. This period will allow unsuccessful tenderers to seek further
debriefing from the contracting authority before the contract is entered
into. Applicants have two working days from the notification of the award
decision to request additional debriefing and that information has to be
provided a minimum of three working days before the expiry of the
standstill period. Such additional information should be required from the
addressee in I 1). If an appeal regarding the award of the contract has
not been successfully resolved, the Public Contract (Scotland) Regulations
2006 (SSI 2006 No 1) provide for aggrieved parties who have been harmed or
are at risk of harm by a breach of the rules to take such action in the
Sheriff Court or the Court of Session. Any such action must be brought
promptly (generally within three months). The purpose of the standstill
period referred to above is to allow parties to apply to the Courts to set
aside the award decision before the contract is entered into.
